Change Of Company Name

A client of yours may need a change of company name if it no longer accurately describe the business; it could be a legacy surname; perhaps they are facing a trademark infringement or ownership issue; or the company name is, in some way, holding back the brand. There are almost as many reasons for changing a company name, as there are different types of business.

This is something that you will want to avoid, as auditing small and micro entities can be particularly challenging, and if your client is reluctant to pay, you may be left facing the financial burden of the audit. Regardless of the motivation, we can look after the process for you, in compliance with CRO requirements. Section 30 & Section 191 (1) of the Companies Act 2014 state that a company may change its name by special resolution, with the approval by the Registrar of Companies, signified in writing.

To change the name, we simply require a copy of the company’s current constitution, its statutory register or a copy of last annual return filed, and a copy of the original constitution, together with the proposed new name and the date from which it should become effective.

Approval of The New Name

We cannot confirm any company name until the Change of Name has been registered and the Certificate of Change of Name has been issued. The CRO operates a very strict policy on company names. We can check your client’s proposed new name(s) against CRO criteria and advise on whether it is likely to be approved. To avoid disappointment, we would advise the client to have at least three options for the new name.
